This document (the “Release”) outlines the legally binding terms and conditions for your participation as a guest on “The Unlocked Professional Podcast” (the “Show”). By signing below, you agree to these terms.

Purpose and Nature of the Show: I understand that the “The Unlocked Professional Podcast” is a media production designed to showcase professional skills for educational, promotional, entertainment, and commercial purposes. My participation involves being interviewed and demonstrating a project, which will be recorded by Carmel Pointe Group LLC.

1. Definition of Contribution

For the purposes of this Release, my “Contribution” is defined as the combination of all materials and elements related to my participation, including:

a) Pre-Recorded Materials: Any and all video, audio, screen-recordings, presentations, code, or other digital assets that I provide to the Company before our recording session.

b) Recorded Appearance: The full video and audio recording of my interview and project demonstration, whether conducted live or recorded separately.

c) Associated Information: My performance, appearance, voice, name, image, likeness, and any biographical or professional information I provide in the guest intake form or during the recording.

2. Grant of Rights

In consideration for the opportunity to participate in the Show, I hereby grant Carmel Pointe Group LLC, along with its successors, assigns, and licensees (collectively, the “Company”), the irrevocable, perpetual, worldwide, royalty-free, and sublicensable right and license to record, use, reproduce, publish, distribute, broadcast, exhibit, perform, adapt, edit, modify, transcribe, create derivative works from, and otherwise exploit my Contribution, in whole or in part.

3. Scope of Use

I understand and agree that the rights granted in Section 2 are absolute. This allows the Company to use my Contribution in any and all media now known or hereafter developed, for any purpose whatsoever, including, but not limited to:

a) Public Broadcast and Promotion: Use in podcast episodes, on the Company’s website, social media channels (including short clips, audiograms, etc.), and streaming platforms (YouTube, Spotify, etc.).

b) Commercial Monetization: Inclusion of my Contribution in a content library or product that may be licensed, sold, or otherwise provided to third parties, such as in a paid course, a subscription service, or for corporate training purposes.

c) Marketing and Advertising: Use in promotional materials, advertising, and marketing for the Show or for the Company’s other business ventures, with or without sponsorship.

4. Compensation and Consideration

I acknowledge and agree that the opportunity to participate in the Show for public exposure, to build my personal and professional brand, and to showcase my skills to a wider audience constitutes valuable, good, and sufficient consideration for the rights granted in this Release.

I understand that this is the sole and entire consideration I will receive. I am not entitled to, and I hereby waive any right to, any fee, royalty, profit share, or other compensation of any kind, regardless of how the Company may use or monetize my Contribution now or in the future.

5. No Obligation to Use

I understand that the Company is under no obligation to use my Contribution or to produce, broadcast, or distribute the episode featuring me.

6. Representations and Warranties

I represent and warrant that I am at least eighteen (18) years of age and have the full legal right to enter into this Release. I further warrant that my Contribution is my own original work and that its use by the Company will not infringe upon the copyrights, privacy rights, publicity rights, or any other rights of any third party.

7. Non-Disparagement

I agree not to make any false, misleading, or disparaging statements, whether written or oral, about “The Unlocked Professional Podcast,” Carmel Pointe Group LLC, its hosts, producers, or other participants.

8. Release and Indemnification

I hereby release, discharge, and agree to indemnify and hold harmless the Company from and against any and all claims, demands, liabilities, and expenses (including reasonable attorneys’ fees) arising out of the use of my Contribution as permitted by this Release or any breach of my representations and warranties. This includes any claims for defamation, invasion of privacy, publicity rights, or copyright infringement.

9. Governing Law

This Release shall be governed by and construed in accordance with the laws of the State of California.

10. Acknowledgment of Understanding

I have read this Release carefully, fully understand its terms, and voluntarily agree to be bound by them. I acknowledge that I am granting the Company broad, perpetual, and monetizable rights to my Contribution—including the right to sell my Contribution as part of a product—and am relinquishing all rights to payment in exchange for the promotional opportunity to be featured on the Show.
